Stock and Capital Limited (UPSCL) was incorporated on 15th November 1979 as Public Limited Company registered under the Companies Act, 1956 with the name of "The Uttar Pradesh Stock Exchange Association Limited". On 3rd June 1982 the company got recognition as Stock Exchange from the Central Government to carry out the functions of Stock Exchange under the Securities Contract (Regulations) Act, 1956.

As per the new Memorandum and Articles of Association of the Company, the company is governing by the Board of Directors comprising 7 Directors, elected from the Shareholders of the Company. The major source of income is from rent and investments.
